About UP9000

How launches work, what the contracts can do, and the terms for using the platform.

Terms of Service

These terms are a contract between you and UP9000. Please read them. They limit what we owe you, and they say a lot about risk you take on yourself.

1. Accepting these terms

You accept these terms when you open the site, connect a wallet, sign a message, submit a transaction, or post on a board. If you do not accept them, do not use the interface.

If you use the interface on behalf of a company or other organisation, you confirm you are allowed to bind it, and "you" means both you and that organisation.

2. Who we are and what this is

UP9000 publishes a website and a set of smart contracts on BNB Smart Chain. The website is an interface: it reads public blockchain data, formats it, and helps your wallet build transactions. It is software, not a service that acts for you.

We are not a bank, a broker, a dealer, an exchange, a market maker, a custodian, an investment adviser, a fund, a payment processor, or a fiduciary. We do not hold your assets. We do not manage anything for you.

3. No affiliation with BNB Chain, Binance, or PancakeSwap

UP9000 is not affiliated with, endorsed by, sponsored by, or connected in any way to BNB Chain, Binance, PancakeSwap, or the issuer of any tokenized asset that is or may be approved as a quote asset here, or to any of their subsidiaries or affiliates.

"BNB Smart Chain" is the name the network's operators gave the network, and "PancakeSwap" is the name of the decentralised exchange whose pools a graduated coin's liquidity is locked in. We use both descriptively, to say which blockchain the contracts are deployed on and which exchange they create a pool with, in the same way software says which chain it runs on. All of those names, logos, and trademarks belong to their owners.

Tokens on the network, including any token that describes itself as representing a stock, a fund, or any other asset, are not issued, backed, guaranteed, or approved by us. Where such a token is used as the quote asset for a launch, that says nothing about who issued it or what it is worth. Read whatever its issuer publishes before you touch it.

4. Eligibility, and people we cannot serve

To use the interface you confirm, each time you use it, that:

  • you are at least 18 years old and can enter into a binding contract;
  • you are not located in, resident in, organised under the laws of, or a national of a jurisdiction where using this interface, launching a token, or trading tokens is unlawful;
  • you are not a person or entity named on, or owned or controlled by a person or entity named on, any sanctions or restricted-party list maintained by the United Nations, the United States (including OFAC's SDN list), the European Union, or the United Kingdom;
  • you are not located in or resident in a jurisdiction subject to comprehensive sanctions, including Cuba, Iran, North Korea, Syria, the Russian Federation, Belarus, and the Crimea, Donetsk, Luhansk, Zaporizhzhia, and Kherson regions of Ukraine, together with any other jurisdiction we list on the site from time to time; and
  • your use complies with the law where you are.

This is a self-certification. We do not run identity checks, we collect no identity documents, and we run no KYC programme. That means the obligation is genuinely yours: if you are a person we cannot serve, using the interface anyway is a breach of these terms, and nothing about your use of it makes your activity lawful.

We may block access from particular countries or addresses at any time, including by using network-level geographic controls, and we may do so without notice.

5. We never hold your assets or your keys

The contracts hold funds; we do not. We never take custody of your tokens, your quote assets, or your rewards, and we cannot move them.

We will never ask for your private key, your seed phrase, or your recovery phrase. Nobody legitimate ever will. Anyone who asks is stealing from you.

Your wallet is yours. Everything signed by it is treated as done by you, whether or not you meant to do it. If your device, your browser extension, or your seed phrase is compromised, the loss is yours and we cannot reverse it.

6. Nothing here is advice

Nothing on the site is investment advice, financial advice, legal advice, accounting advice, or tax advice: not a page, chart, list, leaderboard, badge, creator record, duel score, progress bar, or piece of text. It is not a recommendation to buy, sell, or hold anything, and it is not an offer or solicitation to do so.

Showing a token, ranking it, listing it as a new launch, showing it as about to graduate, giving its creator a good record, or putting it in the champion slot is not an endorsement and is not a judgement about its merits. Rankings are mechanical: they follow trading volume, timestamps, and onchain state, and nothing else.

Get your own advice from someone qualified and paid to give it, before you commit money.

7. Tokens are created by users

Anyone with a wallet can launch a token here. We do not create, issue, promote, underwrite, sell, vet, review, approve, or endorse tokens launched through the contracts. We do not check whether a name, symbol, description, logo, or social link is truthful, original, or lawful.

The person who launches a token is solely responsible for it: for what it claims to be, for what they say about it, for the artwork they upload, for the promises they make anywhere, and for whether any of it complies with the law where they are and where their buyers are.

If you launch a token you also confirm you are not doing it in connection with a capital raise, a pooled investment, a profit-sharing or revenue-sharing arrangement, tokenised equity or debt, or anything else meant to represent an ownership, creditor, or investment interest in a business or enterprise.

8. The interface is one way to reach public contracts

The contracts are deployed on a public blockchain. They are immutable: there is no proxy, no upgrade path, and no administrative function that can move your funds. Their source is published so anyone can read it.

That means the interface is a convenience, not a gate. Anyone can call the contracts directly, or build their own interface. It also means:

  • We may change, restrict, suspend, or withdraw the interface at any time, for any reason, without notice.
  • Doing that does not touch your tokens, your positions, your accrued fees, your holder rewards, or your duel prizes. Those live in the contracts and remain claimable by calling the contracts directly.
  • Conversely, we cannot undo, reverse, refund, freeze, or edit anything the contracts have done, for you or for anyone else. Neither can anyone else.

9. Transactions

Every transaction is built by you and signed by your wallet. Before you sign, read what your wallet shows you: the contract, the amount, and the token. It is the last point at which anything can be stopped.

Prices, quotes, slippage estimates, expected outputs, curve progress, and gas estimates shown in the interface are estimates, produced from data that may be stale. The amount you actually receive is decided by the contract at the moment your transaction executes, on the state of the chain at that moment.

Blockchain transactions may fail, may sit pending indefinitely, may be reordered, may be front-run or sandwiched by others, and may execute at a price materially different from the one you saw. They are generally irreversible. Setting slippage and deadline values is your decision and your risk.

You pay network fees (gas) on every transaction, including transactions that fail.

10. Curves, graduation, duels, rewards, and records

The product has mechanics: a bonding curve for each launch, a fee taken on trades, a graduation into a liquidity pool with permanently locked liquidity, duels between tokens scored on trading volume, rewards paid to holders by time-weighted balance, and a public record of what each creator's launches did.

All of it is decided by the contracts. Where the interface disagrees with the chain, the chain is right and the interface is wrong. In particular:

  • Duel outcomes, scores, overtime, prizes, and settlement are whatever the contracts compute. Displayed scores and clocks are indicative and may lag.
  • Holder rewards and duel prizes are calculated onchain from time-weighted balances, and are claimed by you, from the contracts. We do not distribute them and cannot make a claim succeed.
  • Creator records are assembled from onchain events. They are facts about wallets, not judgements about people, and they may be incomplete or delayed.
  • Eligibility gates, claim windows, brackets, caps, and pauses are enforced by the contracts, on their own terms.

We do not guarantee that a launch will graduate, that a pool will have liquidity, that a duel will be accepted or settled, that a reward will be worth anything, or that any parameter stays as it is today for future launches.

11. Risk

You can lose everything you put in. Read this list; it is not a formality.

  • Tokens launched here are volatile, frequently illiquid, and very often go to zero. Most will.
  • The contracts may contain defects despite testing and review. A defect can cause permanent loss.
  • The underlying network, its sequencer, its bridges, and its RPC providers can halt, reorganise, censor, or fail. Timestamps and block production may behave unexpectedly.
  • Third-party contracts that a graduated token depends on, meaning the DEX, its position manager, the wrapped-native token, and any ERC-20 quote asset, are outside our control and may fail or behave unexpectedly.
  • A token used as a quote asset may be frozen, blocklisted, redenominated, or made worthless by its issuer.
  • Other people will try to manipulate prices, snipe launches, run bots, and mislead you in chat. Some will succeed.
  • The legal treatment of tokens and of activity like this differs by country and changes. We make no representation about the legal status of any token or of your use of the interface.
  • Nobody guarantees a profit, a return, a listing, liquidity, or a buyer.

By using the interface you accept these risks knowingly and take responsibility for your own decisions.

12. Fees and taxes

The contracts take a fee on trades and split it between the token's creator, the platform treasury, and a holder reward pool, on terms published on the site and fixed for each launch when it is created. Liquidity-pool fees after graduation are split between the creator and the treasury. Network gas is separate and goes to the network, not to us.

You are responsible for working out and paying any tax you owe on anything you do here, and for any reporting your jurisdiction requires. We do not withhold tax, do not report on your behalf, and do not provide tax documents.

13. Testnet

Anything we run on a test network is for testing. Test tokens and test assets have no value, are not exchangeable for anything, and may be wiped, reset, or redeployed at any time without notice. Nothing you do on a test network creates an entitlement on the main network.

14. Acceptable use

Do not:

  • break the law, sanctions rules, or anyone's intellectual property or privacy rights;
  • publish false, deceptive, fraudulent, threatening, harassing, hateful, or malicious token metadata, links, images, posts, comments, or messages;
  • impersonate any person, project, company, or public figure, or falsely suggest that a token or post is affiliated with, endorsed by, or issued by anyone, including us, BNB Chain, Binance, PancakeSwap, the issuer of any tokenized asset, or any real-world business;
  • upload logos, artwork, or images you do not have the right to use, or that infringe a trademark or copyright;
  • manipulate a market: wash trade, spoof, ramp, coordinate pump-and-dump activity, or trade against yourself to inflate volume, a duel score, a leaderboard, a creator record, or a reward share;
  • run bots, scripts, or automation that exploits other users, degrades the interface for others, evades rate limits, or exceeds fair use of our infrastructure, including our RPC proxy, which is provided for use by the interface and nothing else;
  • attack the interface or its infrastructure: bypass access controls, probe for vulnerabilities in production, distribute malware, scrape abusively, or overload anything;
  • manipulate what other users see, meaning the displayed data, the boards, the vote counts, the badges, or the rankings, including by operating multiple wallets to fake support or consensus;
  • evade a ban, a hide, a rate limit, or a jurisdictional block;
  • use the interface to launder money, finance unlawful activity, defraud people, or conceal criminal proceeds; or
  • use the interface, or launch or promote a token through it, in connection with a capital raise, a pooled investment scheme, a profit-sharing or revenue-participation right, tokenised equity or debt, or any other arrangement intended to represent an ownership, creditor, or investment interest in a business.

Security research is welcome, through the reporting process published on the site, and not against production.

15. Boards, posts, and what happens to what you write

Every token has a board. Posting, commenting, and voting are offchain features of the interface, gated by wallet signature and, for some actions, by holdings or trading history.

Your content stays yours. You keep whatever rights you have in what you post. You give us a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, copy, reformat, display, and distribute it, for as long as we operate the interface, so that we can run the boards and show your content to other users. You confirm you have the right to grant that licence for everything you post, including images.

We can moderate. We may hide, remove, demote, or refuse any post, comment, vote, image, display name, or token metadata, at our discretion, with or without a reason, and we may ban a wallet from the boards. A token's creator can pin and hide content on their own token's board. Hidden content stays in our database with the reason recorded; hiding is not deletion.

We are not the publisher of what other people write. Content on the boards is written by users. We do not verify it. Treat every price call, insider claim, contract address, and link posted by another user as hostile until you have checked it yourself. Links posted by users may lead to phishing sites and drainers.

16. Our intellectual property

The site, its design, its text, its code that we wrote, and our names and logos are ours or our licensors'. We grant you a limited, personal, revocable, non-transferable licence to use the interface as intended. Nothing else is granted, by implication or otherwise.

Smart contract source we publish under an open-source licence is governed by that licence, which prevails over this section for that source.

You may not copy the interface to pass it off as ours, use our branding to mislead anyone, or reverse engineer parts of the service we have not published, except where the law says you may.

17. Feedback

If you send us ideas, suggestions, or bug reports, we may use them for anything, without payment, credit, or confidentiality. This does not affect any separate bug-bounty terms we publish.

18. Third parties

The interface depends on services we do not control: wallets and wallet software, RPC providers, the blockchain itself and its sequencer, block explorers, content delivery and security providers, object storage, and hosting. Their outages, errors, and decisions can break the interface, delay your transactions, or make data wrong.

Links to other sites, including social links attached to a token, are provided by users or for convenience. We do not control, check, or endorse them, and we are not responsible for what is on them.

19. Availability and accuracy: no guarantees

We do not promise the interface will be available, uninterrupted, timely, secure, or error-free. We do not promise that data shown is accurate, complete, or current.

Specifically, we make no guarantee about:

  • Indexing. Our indexer reads the chain and can lag, skip, double-count, or be wrong after a network reorganisation. It is a convenience layer over the truth, not the truth.
  • Prices and charts. Displayed prices, market caps, candles, volume, holder counts, concentration figures, and progress bars are derived data and may be materially wrong.
  • Scores, records, and badges. Duel scores, leaderboards, creator records, and holder badges are derived the same way and carry the same warning.
  • Claimability. A page saying you can claim something is not a promise that a claim transaction will succeed.

Do not make a decision that matters to you on displayed data alone. Verify against the chain.

20. Suspension and termination

We may restrict, suspend, or end your access to the interface at any time, without notice and without liability, including where we suspect fraud, manipulation, abuse, sanctions exposure, a breach of these terms, or a risk to other users or to our infrastructure. We may impose limits on transactions or on activity for the same reasons.

You can stop at any time by disconnecting your wallet and not returning.

Ending your access to the interface does not affect the contracts. Your tokens, balances, fees, rewards, and prizes stay where they are and remain reachable by interacting with the contracts directly.

Sections that by their nature should survive do so: the disclaimers, limitation of liability, indemnity, and licences you granted us.

21. No warranties

To the fullest extent the law allows, the interface, the site, the contracts, the data, and everything else we provide are supplied "as is" and "as available", with no warranty of any kind, express, implied, or statutory. We specifically disclaim implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement, and any warranty arising from a course of dealing or usage of trade.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is so, this section applies to the greatest extent permitted there, and nothing here limits rights that cannot lawfully be limited.

22. Limitation of liability

To the fullest extent the law allows:

(a) Excluded losses. Neither UP9000 nor its owners, officers, employees, contractors, contributors, or service providers is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost opportunity, lost data, loss of goodwill, or loss of assets, however caused and on any theory of liability, even if we were told such losses were possible.

(b) Specific causes. We are not liable for losses arising from: price movement or the value of any token; a failed, delayed, reordered, front-run, or unexpectedly executed transaction; gas costs; smart contract defects, in our contracts or anyone else's; a wallet, key, device, or browser extension being compromised; phishing, drainers, or scams, including ones reached from links or content posted by users; network, sequencer, bridge, or RPC failure; the acts or omissions of token creators, other users, or third-party providers; market manipulation by anyone; inaccurate or delayed indexed data; or a decision you made using anything the interface displayed.

(c) Cap. Our total aggregate liability for all claims relating to the interface, in any twelve-month period, will not exceed the greater of (i) the amount of platform fees you actually paid to us directly in that period and (ii) one hundred US dollars, or its equivalent in local currency where local law requires the cap to be stated in that currency.

(d) Basis of the bargain. These limits apply even if a limited remedy fails its essential purpose. They reflect the fact that the interface is provided without charge to you and that the money moves through public contracts we cannot control.

(e) Consumers. Some jurisdictions do not allow some of these exclusions or limits. Where that is so, they apply only to the extent permitted, and nothing here excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded.

23. Indemnity

You will defend, indemnify, and hold harmless UP9000 and its owners, officers, employees, contractors, and contributors from any claim, demand, loss, liability, damage, fine, penalty, cost, or expense (including reasonable legal fees) arising out of or relating to: your use of the interface or the contracts; any token you launch or promote; anything you post, upload, or link; your breach of these terms or of any law; your taxes; your infringement of anyone's rights; or your inaccurate self-certification under section 4.

We may take over the defence of any matter you are indemnifying us for, at your cost, and you will not settle anything that admits fault on our part or binds us without our written agreement.

24. Changes to these terms

We may change these terms. When we do, we will post the new version on the site. If a change is material, we will give reasonable prominent notice on the interface before it takes effect.

Continuing to use the interface after a change takes effect means you accept the new terms. If you do not accept them, stop using the interface; you can still reach the contracts directly.

25. General

Nothing here deprives you of the protection of mandatory consumer rules of the country where you live, where those apply and cannot be overridden by agreement.

Severability. If a provision is unenforceable, it is limited or removed to the minimum extent needed and the rest stays in force.

No waiver. Not enforcing something once does not waive it.

Assignment. You may not assign these terms without our written consent. We may assign them to a successor to our business.

Entire agreement. These terms, plus any policies referenced in them, are the whole agreement about the interface, and replace anything said before.

No partnership. Nothing here creates a partnership, agency, joint venture, employment, or fiduciary relationship.

Third parties. Nobody other than you and us has rights under these terms, except that our owners, officers, employees, contractors, and contributors may rely on sections 21, 22, and 23.

Force majeure. We are not liable for a failure caused by something outside our reasonable control, including network failure, provider outage, hostile action against infrastructure, or legal compulsion.

Language. The English version governs; any translation is provided for convenience.
